Abstract

The single member company was introduced in the nineteenth centuryas a new phenomenon in act of commercial companies, and European countryfinally accepted it after a century of silence and hesitation. Among differentcountries, the single member companies have been faced with major changes inEngland, Germany, and France. Regarding the various procedures relating to theformation of this type of company, this research attempts to provide acomprehensive survey about this type of company in the act of the proposedcountries and the act of Iran, which recently is going to accept thesecompanies. The aim is to answer the following questions: 1-Which type ofcompany can be proper for a single member company? 2-How many is the minimummembers for formation and continuing? Can the legal entities establish a singlemember company? Is there a limit to establish the single member companies forlegal and real entities?
